The Constitution of the Sudan Association of Surgeons

 

  1. Name:

The Sudan Association of Surgeons

  1. Aims:

To promote the science and practice of surgery in the Sudan by:

Conference,

Journal,

Co-operation with appropriate bodies both local and abroad,

Promotion of research and training in surgical subjects.

  1. Membership:

Full: Confined to surgeons recognized as exclusively engaged in the practice of surgery in the Sudan.

Associate: Possible for all persons engaged in medical science.

Honorary: Persons who, in the opinion of the general assembly, would further the aims of the association.

Every member should have a membership card showing his number and the date on which he joined the Association.

  1. Elections:

Elections of Members:

Full: Apply to Secretary but would only be elected at a general meeting of the full members, having been proposed by at least one member and seconded by another. A simple majority of the full members will suffice.

Associate.

Honorary: To be elected by a simple majority of the general assembly, having been proposed by at least one member, and seconded by another.

Elections of Council:

The general assembly elects the council by secret ballot.

No member, however qualified, has the right for more than one vote.

No member has the right to deputize another member to give his vote.

No member should give his vote until he has paid all necessary subscriptions.

It is the privilege of any member to protest against any election. This protest should be raised to the general assembly.

  1. Voting:

Only full members are eligible to vote.

In any problem before the general assembly or council, when the votes are equal, the president’s vote should be a casting vote.

  1. Funds:

The Association’s funds are derived from:

Annual subscriptions of Ls.2 for full members and Ls.1 for Associate members.

Amendments: According to the recommendations of the General Assembly Meeting of April 3, 1998, the annual subscription has been amended to LS 120,000 (or US$50) per annum for all members and may be paid complete or in regular instalments by cash, cheque, or bank transfer to the Treasurer or directly to the Association bank account with proof of payment to be forwarded to the Treasurer.

Entrance fee: Ls.5 to be paid by each full member on application for membership.

Amendments: According to the recommendations of the General Assembly Meeting of April 3, 1998, the entrance fee has been amended to LS 60,000 (or US$25) and should be paid complete on application by cash, cheque, or bank transfer to the Treasurer or directly to the Association bank account with proof of payment to be forwarded to the Treasurer.

Additional subscriptions.

Donations from members or other bodies or persons.

Vines.

The Association’s money should be banked under the name of the Association. Cheques for drawing money should be signed by both Treasurer and either Secretary or President. The Treasurer should give a receipt for any amount withdrawn from the Association’s money.

The Association Bank Accounts are:

Sudanese Commercial Bank, Jamhooria St Ac/No 557 (Local Currency)

Abu Dhabi National Bank, Khartoum Branch Ac/No 212399USD2141 (Foreign Currency)

  1. Budget:

The Treasurer, in consultation with the Council should prepare the Annual Budget and present it to the General Assembly for approval. A copy of the approved budget should be sent to the Registrar of Societies.

  1. Audition of Accounts:

A recognized Auditor approved by the Registrar of Societies and nominated by the general assembly, should inspect the Association’s accounts annually before it is presented to the General Assembly.

  1. Reporting of Accounts:

The Association should present its accounts or any other report required to the Registrar of Societies.

  1. Meetings:

Frequency: A general meeting should be held at least once a year, or more often as decided by council.

Time: The meetings are to be held within the period October and March; the exact date to be fixed by council.

Place: Khartoum shall be the place where most meetings would be held but it is desirable that every third year a meeting should be held in a provincial Hospital.

Extraordinary meetings: An extraordinary meeting should be called for when necessary by the council.

Meeting of Council: The council shall meet wherever invited by the president.

Quorum: At a general meeting presence of two thirds of the full members would make a quorum.

Relation with the S.M.A: Relation is one of paternity and mutual co-operation.

  1. Administration:

General Assembly: This consists of the full members only.

The General Assembly is the ultimate authority in the Association.

It elects the Council.

It approves of the annual budget.

Amends the constitution by votes of two thirds of the members present.

Council:

Composed of president, secretary, treasurer and three other members.

Acts as an executive body for the Association.

Performs all necessary functions on behalf of the general assembly.

Prepares for the annual conference.

President:

To be elected by the general assembly for a period of 2 years. Not eligible to re-election until after a period of at least two years.

Presides over the meetings of the General Assembly and Council.

Secretary:

To be elected by the General Assembly for a period of 2 years.

Eligible for re-election.

Keeps the records of the Association.

Together with the treasurer should sign all cheques in the name of the Association.

Treasurer:

To be elected by the General Assembly for a period of 2 years.

Eligible for re-election.

Responsible for the Association’s accounts, money and other property.

To collect subscriptions from members.

To prepare the accounts and budget annually for approval by the General Assembly. Should be ready to show the accounts to the Registrar of Societies.

To see that accounts are annually inspected by a recognized Auditor before the General Assembly meeting.

To prepare the Association’s cheques and sign together with the Secretary.
